A Minneapolis-based firm will merge with Beverly.

Pharmacy Corp. of America will convert its common stock into Beverly Enterprises shares based on a value of $6 per share for PCA and the closing price per share of Beverly Enterprises’ stock at the time of the merger. PCA’s wholly owned subsidiary, Data Med Inc., will be spun off to PCA shareholders prior to the merger. The transaction is subject to a definitive merger agreement and the approval of PCA shareholders.
