RJR Nabisco Sets Shareholders Meeting: RJR Nabisco Holdings Corp., in a letter to shareholders released by the company, said the session will be April 17 in Winston-Salem, N.C. Investors Bennett LeBow and Carl Icahn, who hold 4.8% of the company’s stock and are calling for an immediate spinoff of the Nabisco Holdings Corp. food unit, have attacked RJR for not disclosing the date earlier. In the letter, the New York-based food and tobacco giant urged shareholders to reject the board slate selected by LeBow and Icahn. RJR has said it is committed to a spinoff but that it will do it by 1997. On Tuesday, RJR announced a 23% dividend hike, a share buyback and the formation of a corporate governance committee. LeBow’s Brooke Group Ltd. said Monday that it began mailing proxy materials to RJR shareholders in its effort to force an immediate spinoff.
