COSTA MESA — Privately held NewGen Systems Corp. has agreed to merge with San Diego-based Personal Computer Products Inc. through an exchange of stock, Personal Computer announced Tuesday.

Once the transaction is completed, NewGen and Personal Computer will become units of a newly named parent, Imaging Technology Corp. NewGen, which makes imaging devices for the printing industry, also will be renamed NewGen Imaging Systems. Two NewGen officials will join the board of the combined company.

The transaction is expected to be completed in mid-February.
