Suit Claims Fujitsu’s Amdahl Bid Inadequate

Amdahl Corp. and Fujitsu Ltd. face a shareholder lawsuit from Amdahl shareholders claiming Fujitsu’s $12-a-share offer for the rest of the Sunnyvale-based mainframe maker it doesn’t own is inadequate. Fujitsu’s intent to purchase the remaining shares outstanding for $850 million in cash, announced Wednesday, comes as analysts and investors believe the ailing company is poised to report improved earnings because of its efforts to rely more on software and computer services. The lawsuit, filed in Superior County Court in Santa Clara County and seeking class-action status, charges that the proposed transaction is “unfair and grossly inadequate.” Fujitsu said it hadn’t seen a copy of the lawsuit and that it was “without merit.” Four similar lawsuits were filed in the Delaware Chancery Court. Amdahl shares fell 6 cents to close at $11.81 on the American Stock Exchange.
